By-laws
of
the
Summit
County Chapter of the Ohio Genealogical Society
ARTICLE I - NAME
Section 1.0
The name of this organization shall be the Summit County Chapter of the
Ohio Genealogical
Society, hereafter referred to as the "Chapter".
ARTICLE II - PURPOSES
Section 2.01 To
encourage active membership in the Chapter, and to support the objectives
of, and
membership in The Ohio Genealogical Society.
Section 2.02
To support the preservation, collection and publication of historical and
genealogical records
pertaining to Summit County and the State of Ohio, and to make them available
for use in
genealogical research.
Section 2.03
To operate solely for educational purposes as provided in Section 501(c)(3)
of the Internal
Revenue Code of 2002, or a corresponding section of any future tax code.
ARTICLE III - MEMBERSHIP
Section 3.01 Any
person may become a member of the Chapter upon completion of the Membership
` Application form and the payment of dues.
Section 3.02 Categories
of membership:
Section 3.02.1 Individual - one person receiving
a single subscription to the Chapter
newsletter.
Section 3.02.2 Joint - two individuals residing
at the same address and receiving a single
subscription to the Chapter newsletter
.
Section 3.03 Dues
are for the calendar year of January 1 through December 31, and will be
set by the
Executive Board with the approval of the Chapter at any regular meeting.
ARTICLE IV - OFFICERS
Section 4.01 The
Chapter's Elected Officers are President, Vice-President, Recording Secretary,
Corresponding Secretary, and Treasurer. These officers shall perform the
duties
prescribed by the Chapter's Bylaws, Standing Rules, and the Officers' Manual.
Section 4.02 The
President and at least one other officer must be a member of The Ohio
Genealogical Society.
Section 4.03
The President and Vice-President shall serve no more than two consecutive
terms,
unless a candidate cannot be found and the Executive Board approves.
Section 4.04 Term of all offices is from January through December 31 of the year following the election
Section 4.05 Election shall be by majority vote of the members present at the October meeting.
Section 4.06 Installation of officers will be held during the November meeting.
Section 4.07 Officer vacancies shall be filled by the Executive Board.
ARTICLE V - EXECUTIVE BOARD
Section 5.01
The Executive Board shall be comprised of all elected officers, the immediate
Past
President, and the Chair of each Standing Committee as defined in the Chapter's
Standing
Rules.
Section 5.02 The
Executive Board shall manage the affairs of the Chapter between Chapter
meetings.
Section 5.03 Meetings
of the Executive Board shall be called by the President as required, but
no less
than four times a year.
ARTICLE VI NOMINATING COMMITTEE
Section 6.01 A
Nominating Committee consisting of three (3) members shall be appointed
by the
Executive Board, no later than the June Chapter meeting. The Nominating
Committee
shall select its own chairperson.
Section 6.02 No
member shall be appointed to the Nominating Committee who served in the
prior year,
or who is a current Elected Officer of the Chapter.
Section 6.03 The
Nominating Committee shall present its slate of one (1) candidate for each
elective office
at the September Chapter meeting.
Section 6.04 Nominations
may be made from the floor. The consent of all candidates shall be obtained
prior to presenting their names in nomination for a Chapter office.
ARTICLE VII - CHAPTER MEETINGS
Section 7.01 The Chapter shall meet monthly, holding at least eight meetings a year
ARTICLE VIII - QUORUM
Section 8.01 At Chapter meetings, a quorum will be the members present
Section 8.02 At Executive Board meetings, a quorum will be the members present.
ARTICLE IX - TAX EXEMPTION
Section 9.01 This
Chapter is organized as a nonprofit, educational organization, exclusively
for the
purposes set forth in Article II, Section 2.03.
Section 9.02 In
the event of dissolution, and upon majority vote of the members present
at a Chapter
meeting, funds of this Chapter shall be distributed to a genealogical organization
also
exempt under Section 501(c)(3) of the Internal Revenue Code of 2002, or
a corresponding
section of any future tax code.
ARTICLE X - AMENDMENTS
Section 10.01 These
Bylaws may be amended by a two-thirds vote of the members present at any
meeting
of the Chapter, provided that:
10.01.1- The Bylaws amendment was previously published
in the Chapter newsletter, and
10.01.2- A written copy of the Bylaws amendment
was distributed to all members present
at the preceding Chapter meeting.
Section 10.02
When a Bylaws amendment is brought to the floor for a vote, it may be amended
by a
majority vote of the members present.
Section 10.03
Newly-adopted Bylaws shall take effect at the adjournment of the meeting
at which they are
adopted.
ARTICLE XI - PARLIAMENTARY AUTHORITY
Section 11.01 Orderly
parliamentary procedures shall govern all meetings. All questions of procedure
not
other wise covered herein shall be determined in accordance with the most
current edition
of Robert's Rules of Order, Newly Revised.

STANDING RULES
of the
SUMMIT COUNTY
CHAPTER OF THE OHIO GENEALOGICAL SOCIETY
I.. MEETINGS
A. Chapter meetings shall be held at 1:00 p.m.
on the third Saturday of each month, with the exception
of August, November and December, unless some emergency necessitates otherwise.
B.. The meeting in November will be the Annual
Banquet, with all members receiving at least 30 days
notice of the date, time, and place.
II DUES
A Individual Membership $14.00 per calendar year.
B Joint Membership $15.00 per calendar year.
III COMMITTEES
A. Auditing Committee - Shall
consist of a person or persons selected by the President to
examine the Chapter's financial records at the close of each calendar year
and submit
a written report to the Chapter.
B Nominating Committee
-
Shall consist of at least three members who will select their
Chairperson, and meet at their discretion in order to present a proposed
slate of officers
at the Chapter's September meeting.
C Standing Committees
-
The President shall appoint chairpersons for each of the following
committees:

A All officers and chairpersons
shall fulfill the duties of their respective positions as prescribed by
the Bylaws, Standing Rules, and the Officers' Manual.

All duties for Chapter officers and chairpersons, including those listed
in the Chapter's Officers'
Manual may be amended at any time by majority vote of the Executive Board.
V. AMENDMENTS
A These Standing rules may be amended by a majority vote of the members present at any Chapter meeting.
